AGREEMENT TO OUR LEGAL TERMS

We are GM Training Arc Inc. ("Company," "we," "us," "our"), a company incorporated in British Columbia, Canada.

We operate the Training Arc website and Windows application (together, the "Services").

These Terms of Service ("Terms") constitute a legally binding agreement between you and GM Training Arc Inc. concerning your access to and use of the Services. By accessing or using the Services, you agree that you have read, understood, and accepted these Terms.

If you do not agree, you must stop using the Services immediately.

The Services are intended for users age 13 or older. Users under the age of majority in their jurisdiction must have parental or guardian consent to use the Services. Persons under 13 are not permitted. Where applicable local law requires a higher minimum age for consent (such as 16 in certain jurisdictions), that higher age requirement applies.

We recommend you print a copy of these Terms for your records.

1. OUR SERVICES

The Services provide automated gameplay analysis and coaching feedback. The Services are not affiliated with or endorsed by Riot Games. Use of the Services must also comply with Riot's Terms of Service.

2. INTELLECTUAL PROPERTY RIGHTS

We own or license all rights in our Services, including source code, software, website design, graphics, and trademarks. Subject to these Terms, we grant you a limited, non-exclusive, revocable license to access and use the Services for personal, non-commercial purposes.

You may not copy, reproduce, modify, reverse engineer, or distribute the Services or any content without our prior written permission.

3. USER ACCOUNTS

You may be required to register an account to use the Services. You are responsible for maintaining the confidentiality of your login details and all activity under your account.

We may suspend or terminate your account, at our discretion, if we believe you have violated these Terms or engaged in misuse of the Services.

4. PURCHASES AND PAYMENT

Payments for subscriptions are processed securely through Stripe. You agree to provide accurate and current payment details.

All prices are shown in CAD (unless otherwise specified).

Subscriptions renew automatically each billing cycle unless canceled.

All payments are non-refundable, except where required by applicable law. If you cancel, your subscription will continue until the end of the current paid period.

We may correct pricing errors at any time without obligation to honor the incorrect price.

5. SUBSCRIPTIONS & FREE TRIALS

We may offer a free trial period. After the trial ends, your subscription will automatically renew unless canceled.

You can cancel at any time in your account settings. Cancellation takes effect at the end of your current paid period.

6. USER UPLOADED CONTENT

You may upload gameplay videos to use the Services.

You retain ownership of your videos.

By uploading, you grant us a worldwide, non-exclusive, royalty-free, irrevocable license to process, analyze, and store your videos in order to:

• Deliver coaching feedback to you.
• Improve, test, and train our AI models, including for future products and commercial offerings.
• Support development work performed by our service providers and partners.

This license survives account deletion to the extent your videos have already been incorporated into our systems or models. We will not sell or publicly distribute your videos without your permission.

You represent that you have the necessary rights to upload the videos.

7. PROHIBITED ACTIVITIES

You agree not to:

• Use the Services to cheat, develop cheats, or violate Riot's Terms of Service.
• Attempt to reverse engineer, copy, or tamper with the Services.
• Upload unlawful, harmful, or infringing content.
• Misuse or disrupt the Services, including attempts to bypass security or interfere with availability.

8. TERMINATION

We may suspend or terminate your account at our discretion, with or without notice, if we believe you have violated these Terms or misused the Services.

9. MODIFICATIONS & INTERRUPTIONS

We reserve the right to modify, suspend, or discontinue the Services at any time, without liability to you. We do not guarantee continuous availability and are not responsible for interruptions or downtime.

10. LIMITATION OF LIABILITY

To the maximum extent permitted by law, our total liability to you for any claims related to the Services will not exceed the amount you paid us in the six (6) months before the claim arose.

We are not liable for indirect, incidental, or consequential damages, including lost profits or data.

11. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless GM Training Arc Inc., its directors, officers, employees, and agents from any claims, damages, or expenses (including legal fees) arising from:

• Your use of the Services,
• Your violation of these Terms, or
• Your uploaded content.

These Terms are governed by the laws of British Columbia, Canada. Any disputes will be handled exclusively in the courts of British Columbia.

14. CORRECTIONS

We may correct errors in descriptions, pricing, or availability without prior notice.

15. ELECTRONIC COMMUNICATIONS & SIGNATURES

By using the Services, you consent to receive electronic communications from us. You agree that digital signatures, agreements, and notices provided electronically satisfy legal requirements for written communication.

16. MISCELLANEOUS

• These Terms are the entire agreement between you and us.
• If any part is unenforceable, the rest remains valid.
• We may assign our rights and obligations at any time.
• We are not liable for delays or failures caused by events outside our control (force majeure).
• Our failure to enforce any right does not waive it.
